Change in object clause

Object clause is the third clause in the Memorandum of Association of the Company which specify the main business of the Company. It defines the main objects that the company for which the Company is incorporated. The object clause also provides the objects which are necessary for furtherance of the main objects.

Procedure to Change the Object Clause of Company

1. Convene a Board Meeting

The Company shall hold a Board Meeting to consider the agenda for alteration of object clause.

2. Convene an Extra – ordinary general meeting

The company shall hold an extra ordinary general meeting (EGM) of the members of the company to pass special resolution to for alteration of object clause of Memorandum of Association of the Company.

3. Roc Compliance

To file e-form MGT-14

within a period of 30 days from the date of passing of special resolution in EGM with Registrar of Companies.
